Lead Contracts Senior Manager (Enabling Senior Manager)
Are you an experienced contracts professional who has strong
negotiating skills, pays attention to detail, has outstanding
oral/written communication skills, and the ability to work in a
fast-paced environment across a matrixed organization? If so,
Deloitte is currently seeking candidates for a Senior Manager role
to enable sales growth by leading all contracting and compliance
efforts for our Ecosystem & Alliances activities across our
businesses and to strategically drive the formation of a multitude
of new relationships to expand Deloitte's go to market activities
with third parties. This professional will lead our contracting
efforts as we develop more complex go to market strategies with our
alliance, ecosystems, and other marketplace business relationships.
This individual will lead a team of contracting professionals and
provide direction, oversight, and escalation for a growing set of
relationships that are driving significant revenue for the firm.
This professional will also drive new contracting frameworks and
have a seat at the table for driving new business initiatives
across Deloitte.
The Team
The Lead Contracts Senior Manager leads the Contracts & Compliance
team in Deloitte's Ecosystems & Alliances (E&A) Enterprise
Shared Service for formations, which serves all businesses,
Offering Portfolios and Industries across Deloitte Consulting and
Deloitte Advisory. This professional works closely with a broad
spectrum of third parties, including all of our alliances, Deloitte
business leaders, and Deloitte clients. The Senior Manager's focus
is on strategically constructing and managing our innovative
hybrid, ecosystem and go to market contracts (including but not
limited to alliance, subcontracting, teaming, licensing, and
reselling agreements to ensure that Deloitte can successfully offer
innovative solutions with our go to market partners. This role will
allow visibility into a variety of exciting go to market efforts
and the ability to be on the cutting edge of Deloitte's sell-with
strategy with our alliance companies. This individual will provide
primary business compliance, risk, and legal assessment, working
closely with our Office of General Council and Quality & Risk
Management to address, mitigate, or eliminate any potential
exposure, while creatively pushing the boundaries of how we work
with our alliance companies, ecosystems, and other third-party
relationships.
Work You Will Do:
The Lead Contracts Senior Manager will facilitate sell-with sales
growth by focusing on formalizing strategic agreements with vendors
that work with Deloitte across all aspects of our business. As our
go to market activity grows and Deloitte manages increasingly
complex ecosystems and other relationships, this position will lead
a critical function across the business to solution, manage, and
position our contracting activities for success. This role
involves:
Team leadership
- Strategically craft the roadmap for the growth of the Contracts
& Compliance team so as to increase and expedite the firm's
relationship activities with third parties.
- Oversee and manage the US and USI based team members and be the
point-of-escalation for all contracting and compliance matters
within the E&A Shared Service for formations, including
ecosystems, alliances, and other third-party business
relationship.
- Lead the assignment of new contracts and compliance matters to
the team members.
- Provide feedback and coaching to team members.
Ecosystems & Alliances
- Define the prioritization criteria and structuring of
agreements thru (a) the development and implementation of faster,
more efficient contracting methodology and processes and (b) the
creation of comprehensive contracting templates that create
consistency across E&A (all businesses) and accelerates our
businesses speed-to-market.
- Working with E&A leaders and business sponsors, lead all
business-based negotiating with third-party relationships. Delegate
negotiations to team members when appropriate
- Serve as escalation point for the E&A team on third-party
negotiations.
- Understand complex vendor partner programs, including a
comprehensive understanding of all mechanism available to help
monetize the go-to-market activities, while protecting Deloitte IP
and mitigating risk.
- Understand the business case and justification for establishing
a new relationship with a new vendor or expanding an established
relationship with an existing vendor.
- Lead discussions and negotiations with third parties including,
but not limited to a) the third-parties executive management and
business sponsors; and b) working closely with Deloitte's OGC, QRM
and other stakeholders and subject-matter specialists.
- Review, draft, and provide initial business, compliance, legal,
and risk-based analysis of and recommendations for revisions to
Alliance, Teaming, Subcontracting, Licensing, Nondisclosure, and
other related Agreements.
- Act as primary liaison between business leaders and teams, OGC,
QRM, and any other relevant Deloitte stakeholder teams to negotiate
and manage multiple complex agreements while ensuring adherence to
the firm's policies
- Interpret, understand, and communicate key contractual
requirements and obligations to E&A leadership and, when
necessary, account teams, clients and third parties.
- Provide guidance regarding Independence considerations to
business teams, leadership and third parties. Establish
consultations with the Independence specialists in Deloitte
Other Contracting and Compliance
- Lead new contracting initiatives that may result from the
firm's expansion of its E&A relationship types and marketplace
strategies.
- Establish a library of pre-approved templates and use cases
that include but are not limited to cross-business alliance
agreement and structure of exhibits, development of funding MoUs
for pre-alliance relationships, activity agreements for alliances,
ecosystem agreements, development agreements, and other agreements
necessary to establish effective third-party relationship
execution.
- Identify the appropriate contracting structure that will enable
the creation of the firm's ecosystem solutions thru evaluation and
discussion with the US, and when applicable global, Office of
General Counsel (OGC).
- Work with the various Deloitte compliance leaders and teams to
continuously improve compliance processes, utilize escalations when
needed, and provide hands-on support for third-party relationship
teams.
- Verify or complete all compliance requirements for our
alliances and other third-party relationships including, but not
limited to, Third-Party Risk Management approvals, independence,
cyber risk, data privacy, and anti-corruption
- Provide initial assessments to leadership and appropriate
stakeholders and recommend and/or implement strategies and
processes that address/mitigate legal, compliance, and risk
exposures related to alliances and third-party relationships. This
may include complying with open-source software license
requirements, securing the Deloitte IP, reducing and eliminating
cross-firm liability, protecting confidential/proprietary/client
information, preventing software security vulnerabilities, and
others.
Qualifications
Required
- Bachelor's degree
- 3+ years of experience leading all aspects of vendor/client
contracting process, including management, negotiations, risk
mitigation, and close-out
- Background in leading complex contract negotiations with
vendors and clients.
- Experience in a wide variety of third-party contracts,
including but not limited to alliance, licensing, and
reselling
- Experience hiring, managing, coaching, mentoring, and
developing direct reports
- Superior organizational and analytical skills with an emphasis
on attention to detail and professional skepticism
- Experience managing multiple and extremely complex projects at
the same time while achieving outstanding results
- Excellent written and verbal communication and interpersonal
skills
- High level of proficiency in Microsoft office suite
- Database management experience
- Superior Internet research skills
Preferred
- Licensed attorney or J.D.
- 5+ years of legal experience
- Experience working for or with third-party go-to-market
relationships
- Experience working with cloud and SaaS vendors
- Prior public accounting or consulting services experience
- Prior experience with independence pronouncements, standards,
and rules for professional audit firms
- Knowledge of Deloitte Independence, Ethics and Compliance
policies
Must be legally authorized to work in the United States without the
need for employer sponsorship, now or at any time in the
future.
